1. Agreement to Terms

By accessing or using the Trestle platform ("Platform"), operated by Trestle Platform LLC ("Trestle," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all users, including brokers, lenders, and any other parties who access the Platform. By creating an account or submitting information through the Platform, you represent that you have the authority to bind your organization to these Terms.

2. Description of Service

Trestle is a technology-enabled platform for net lease commercial real estate debt origination. The Platform provides automated due diligence tools including, but not limited to:

  • AI-powered document parsing and data extraction from offering memoranda and lease agreements
  • Credit analysis using publicly available financial data and proprietary data sources
  • Environmental screening using publicly available government databases
  • Automated property appraisals and valuation analysis
  • Underwriting analysis and suggested financing parameters
  • A marketplace for lenders to review and bid on pre-screened deals

3. Disclaimer of Liability for Decisions

TRESTLE IS NOT LIABLE FOR ANY LENDING, PURCHASING, INVESTMENT, OR OTHER FINANCIAL DECISIONS MADE BASED ON DATA, ANALYSES, REPORTS, OR ANY OTHER INFORMATION PROVIDED THROUGH THE PLATFORM.

By using the Platform, you expressly acknowledge and agree that all information, data, analyses, credit reports, environmental screenings, appraisals, valuations, comparable sales data, market data, term sheets, and any other output generated by or displayed on the Platform is provided solely for informational purposes and does not constitute financial, legal, environmental, appraisal, or investment advice.

You use all information provided by the Platform at your own discretion and risk. You are solely responsible for conducting your own independent due diligence, analysis, and verification before making any decision relating to any transaction, property, tenant, or investment opportunity.

4. No Representations or Warranties Regarding Data Accuracy

Trestle makes no representations, warranties, or guarantees, express or implied, regarding the accuracy, completeness, reliability, timeliness, or suitability of any data or information provided through the Platform, including but not limited to:

  • Credit ratings, financial statements, or financial ratios
  • Environmental reports, contamination assessments, or compliance data
  • Property appraisals, valuations, or comparable sales data
  • Market data, cap rates, rent comparables, or absorption rates
  • Underwriting analyses, debt service coverage ratios, or loan-to-value calculations
  • Term sheets, suggested financing parameters, or lending criteria
  • AI-generated analyses, summaries, or data extractions

ALL INFORMATION AND DATA PROVIDED THROUGH THE PLATFORM IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

5. Third-Party Data Sources

The Platform aggregates and processes data from multiple third-party sources, including but not limited to government databases, public financial filings, proprietary data providers, public county assessor records, and various public data APIs.

Trestle is not responsible for the accuracy, completeness, or availability of any data provided by third-party sources. Third-party data may be delayed, incomplete, or contain errors. Trestle does not independently verify third-party data and makes no representations regarding its reliability.

6. Not a Substitute for Professional Advice

The Platform is not a substitute for professional advice from qualified professionals including, but not limited to, licensed appraisers, attorneys, accountants, environmental consultants, structural engineers, or licensed mortgage professionals. Users should consult with appropriate licensed professionals before making any financial, legal, or investment decisions.

Trestle is not a bank, lender, mortgage broker, or licensed real estate appraiser. The Platform facilitates the connection between deal originators and capital sources but does not itself provide loans, make lending decisions, or issue binding appraisals.

7. Waiver of Claims

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BY USING THE PLATFORM, YOU EXPRESSLY AND IRREVOCABLY WAIVE ANY AND ALL RIGHTS TO PURSUE CLAIMS, ACTIONS, OR PROCEEDINGS AGAINST TRESTLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS ARISING FROM OR RELATED TO: (A) ANY LENDING, PURCHASING, OR INVESTMENT DECISION MADE BASED ON INFORMATION PROVIDED THROUGH THE PLATFORM; (B) ANY INACCURACY, ERROR, OR OMISSION IN DATA, ANALYSES, OR REPORTS GENERATED BY OR DISPLAYED ON THE PLATFORM; (C) ANY RELIANCE ON INFORMATION PROVIDED BY THE PLATFORM; OR (D) ANY LOSS, DAMAGE, OR LIABILITY ARISING FROM YOUR USE OF THE PLATFORM.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRESTLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL TRESTLE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TRESTLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Trestle, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any decision you make based on information provided through the Platform; or (e) any content or data you submit to the Platform.

10. Billing and Payments

10.1 Pricing

Access to Platform services is offered on a pay-as-you-go basis or via subscription. Current pricing is displayed at trestlecre.com/pricing and may include: (a) individual underwriting credits, (b) discounted bundles of credits, and (c) a monthly unlimited-underwriting subscription. Trestle reserves the right to modify pricing with at least thirty (30) days' prior notice to active subscription customers; existing unused credits are not affected by subsequent price changes.

10.2 Credits

One (1) underwriting credit entitles you to run the Platform's automated underwriting pipeline on one (1) deal submission. Minor edits to a submitted deal (such as correcting typos or fixing data entry errors) do not consume additional credits. Changing the fundamental subject of a deal (such as switching to a different property) requires a new credit. Credits do not expire and remain in your account until used, refunded under Section 10.5, or the account is terminated.

10.3 Subscriptions

If you purchase the unlimited-underwriting subscription, you authorize Trestle to charge your payment method the then-current monthly subscription fee on a recurring basis until you cancel. Subscriptions renew automatically each billing period. You may cancel your subscription at any time through your account settings or by contacting support at support@trestlecre.com. Upon cancellation, you retain access to subscription features until the end of the current billing period; you will not be charged for subsequent periods. Any pay-as-you-go credits in your balance at the time of cancellation remain valid and unaffected.

10.4 Payment Processing

Payments are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. By providing payment information, you represent that you are authorized to use the payment method. Your full payment card details are transmitted directly to Stripe over encrypted connections; Trestle does not receive, store, or have access to your full card number or CVV. Stripe's use of your payment information is governed by Stripe's own terms and privacy policy available at stripe.com.

10.5 Refunds

All payments are non-refundable. Underwriting credits, whether used or unused, are not refundable for cash; unused credits remain in your account and may be applied to future deals at any time. Subscription fees for the current billing period are non-refundable; cancellation prevents future charges but does not entitle you to a refund of the current period's fee. Trestle may, at its sole discretion, issue refunds or credits in exceptional circumstances (for example, duplicate charges or technical errors); any such discretionary refund does not obligate Trestle to issue refunds in other cases.

10.6 Failed Payments

If a subscription payment fails, Trestle may suspend subscription features until payment is successful; any pay-as-you-go credits in your balance remain available during suspension. After repeated payment failures, your subscription may be canceled. You are responsible for keeping your payment method up to date.

10.7 Chargebacks and Disputes

If you believe a charge is incorrect, you agree to contact Trestle at support@trestlecre.com before initiating a chargeback or dispute with your payment provider. Initiating a fraudulent chargeback (including for services that were actually rendered) may result in immediate account termination and recovery action for the disputed amount plus any chargeback fees incurred by Trestle.

10.8 Taxes

Listed prices do not include taxes. You are responsible for any applicable sales, use, value-added, or other taxes imposed on Platform purchases by your jurisdiction, except for taxes based on Trestle's net income. Where required by law, Trestle may collect applicable taxes at the point of sale.

11. User Accounts

To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Trestle immediately of any unauthorized use of your account.

You represent and warrant that all information you provide during registration and throughout your use of the Platform is accurate, current, and complete. Trestle reserves the right to suspend or terminate your account at any time for any reason, including breach of these Terms.

12. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Submit false, misleading, or fraudulent information to the Platform
  • Attempt to gain unauthorized access to any part of the Platform or its systems
  • Use automated means (bots, scrapers, crawlers) to access or collect data from the Platform without prior written consent
  • Interfere with or disrupt the integrity or performance of the Platform
  • Reverse engineer, decompile, or disassemble any aspect of the Platform
  • Resell, redistribute, or sublicense access to the Platform without prior written consent
  • Use the Platform to compete directly with Trestle

13. Intellectual Property

The Platform, including its design, code, algorithms, models, user interface, documentation, and all other components, is the proprietary property of Trestle and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms.

You retain ownership of the data and documents you submit to the Platform. By submitting content to the Platform, you grant Trestle a non-exclusive, worldwide license to use, process, store, and analyze such content solely for the purpose of providing and improving the Platform's services.

14. Confidentiality

Trestle will treat deal information, financial data, and other non-public information submitted by users as confidential and will not disclose such information to third parties except as necessary to provide the Platform's services (e.g., presenting deal information to lenders on the marketplace, as authorized by the submitting user) or as required by law.

15. Termination

Trestle may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Sections 3 through 10 (Disclaimer, Warranties, Third-Party Data, Professional Advice, Waiver, Limitation of Liability, Indemnification, and Billing and Payments) shall survive termination.

16. Modifications to Terms

Trestle reserves the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date at the top of this page. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered by JAMS in the State of Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
